Terms of Service

1. Agreement to these terms

"Gagner," "we," "us," and "our" refer to Gagner Solutions Limited. "You" refers to the individual or institution using our website or products. If you are entering into these terms on behalf of a school or organization, you confirm you have the authority to bind that organization, and "you" then refers to that organization as well.

2. Who may use Gagner

Gagner for Schools is offered to educational institutions, and to the educators, administrators, and students that institution authorizes. Individual accounts for teachers and administrators require the account holder to be at least 18 years old, or the age of majority in their jurisdiction. Student accounts are created and managed by the school, not signed up for directly by the student, consistent with the model described in our Privacy Policy.

3. Product-specific terms

Only Gagner for Schools is available today, and these terms are written with that product in mind. When Gagner for Agriculture and Gagner for Health launch, we will add product-specific sections or supplemental terms addressing anything particular to those products, for example agricultural data ownership or, for Health, terms appropriate to clinical or patient-facing use. Those additions will not reduce the protections described here for Gagner for Schools without separate notice.

4. Accounts and registration

• You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account
• You must provide accurate information when creating an account and keep it up to date
• Notify us promptly at hello@gagnerapp.com if you suspect unauthorized use of your account
• Institutional administrators are responsible for provisioning, managing, and deactivating student and staff accounts within their institution

5. School and institution responsibilities

Because Gagner for Schools handles student data under a school's authority, schools agree to:

• Have the necessary authority and, where required by applicable law, parental or guardian consent, to enroll students in Gagner for Schools
• Provide accurate roster and account information
• Use the platform in compliance with applicable education and data protection laws
• Designate an administrator responsible for managing the school's account and responding to data subject requests as described in our Privacy Policy
• Ensure that students and staff using Gagner are made aware of the school's own acceptable use expectations

6. Acceptable use

When using Gagner, you agree not to:

• Use the platform for any unlawful purpose, or in a way that infringes the rights of others
• Attempt to gain unauthorized access to any account, system, or network connected to Gagner
• Upload malicious code, or attempt to disrupt or overload our infrastructure
• Use Study Buddy, AI Quiz Master, Idea Lab, or Homework Coach to generate content that is harmful, harassing, or intended to circumvent a school's academic integrity policies, for example asking Homework Coach to simply produce a final answer to submit as one's own work rather than to explain the reasoning
• Scrape, reverse engineer, or resell access to the platform without our written permission
• Misrepresent your identity or your authority to act on behalf of a school

We may suspend accounts that violate this section, consistent with section 10.

7. AI features and content

Study Buddy, AI Quiz Master, Idea Lab, and Homework Coach use artificial intelligence to generate explanations, feedback, refined ideas, and guided steps. Please keep the following in mind:

• AI-generated output can be incomplete or, occasionally, incorrect. It is intended to support teaching and learning, not to replace a teacher's professional judgment
• Homework Coach is designed to guide a student's reasoning rather than hand over finished answers; using it, or any other Gagner feature, to circumvent genuine learning or a school's academic integrity policy is a violation of section 6
• Gagner does not guarantee specific academic outcomes, test scores, or grade improvements from use of any AI feature
• Schools and educators remain responsible for reviewing AI-assisted content used for grading or reporting before relying on it for formal decisions

8. User content and intellectual property

Your content

Schools, educators, and students retain ownership of the content they create using Gagner, such as lesson materials, quiz questions, Idea Lab submissions, and homework working steps ("User Content"). By submitting User Content, you grant Gagner a limited license to host, process, and display it solely to provide and improve the product for your institution.

Our platform

Gagner retains all rights to the Gagner platform itself, including our software, AI models and configurations, designs, trademarks, and the Gagner name and logo. Nothing in these terms transfers any of that intellectual property to you.

9. Fees and payment

Fees for Gagner for Schools are set out in the order form or subscription agreement signed with your institution. Unless stated otherwise there:

• Subscription fees are billed in advance for the agreed term
• Fees are non-refundable except as required by law or as separately agreed in writing
• We may change pricing for future terms with reasonable advance notice
• Overdue amounts may result in suspension of access after notice, consistent with section 10

10. Term, suspension, and termination

These terms remain in effect for as long as you have an active Gagner account or your institution has an active subscription. We may suspend or terminate access if you materially breach these terms and do not remedy the breach within a reasonable period after notice, or immediately in cases of serious misuse, security risk, or as required by law. You may cancel a subscription according to the terms of your order form. Upon termination, sections that by their nature should survive, including intellectual property, disclaimers, limitation of liability, and governing law, will continue to apply.

11. Disclaimers

Gagner is provided "as is" and "as available." To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the platform will be uninterrupted, error-free, or that AI outputs will be accurate or complete in every instance.

12. Limitation of liability

To the fullest extent permitted by law, Gagner will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of data, revenue, or goodwill, arising from your use of the platform. Our total liability for any claim arising from these terms or your use of Gagner will not exceed the amount your institution paid us in the twelve months preceding the claim. Nothing in this section limits liability that cannot be limited under applicable law.

13. Indemnification

You agree to indemnify and hold Gagner harmless from any claims, damages, or expenses, including reasonable legal fees, arising from your misuse of the platform, your breach of these terms, or your violation of applicable law, except to the extent caused by Gagner's own breach of these terms.

14. Governing law and disputes

These terms are governed by the laws of the Federal Republic of Nigeria, without regard to its conflict of law principles. Any dispute arising from these terms will be resolved in the courts of Lagos, Nigeria, unless the parties agree in writing to another method such as arbitration.

15. Changes to these terms

We may update these terms from time to time. If a change is material, we will notify affected schools directly and update the "last updated" date at the top of this page. Continued use of Gagner after a change takes effect means you accept the updated terms.

16. General provisions

• Entire agreement: these terms, together with any order form or subscription agreement, form the entire agreement between you and Gagner regarding your use of the platform
• Severability: if any provision is found unenforceable, the remaining provisions continue in full effect
• No waiver: failure to enforce a provision is not a waiver of our right to do so later
• Assignment: you may not assign these terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets
• Notices: we may provide notices under these terms by email to your account contact or by posting on our website
